Information on the Share Capital
Disclosure Obligations for Significant Shareholders
Pursuant to AIM Italia regulations, any shareholder with a stake of more than 5% in any category of shares in Intermonte Partners SIM S.p.A. is a “Significant Shareholder”.
Reaching or exceeding the thresholds of 5%, 10%, 15%, 20%, 25%, 30%, 50%, 66.6% and 90% of the share capital, or falling below any of those thresholds, constitutes a “Substantial Change” that must be communicated by the Significant Shareholder to the governing body of Intermonte SIM S.p.A.
To this end, the Significant Shareholder must communicate any Substantial Change to Intermonte Partners SIM S.p.A. in a timely manner, and in any case within 4 days of trading, starting from the day in which they became aware of the transaction giving rise to the obligation, regardless of the date of execution, or on the day in which the Significant Shareholder became aware of events modifying the company’s share capital, indicating:
1. The identity of the shareholder
2. The date on which Intermonte Partners SIM S.p.A. was informed
3. The date on which the Substantial Change occurred
4. The nature and size of the Significant Shareholder’s participation in the transaction
